What you're buying, in plain terms.

These terms apply when you use PrivyLogic at app.privylogic.ai or this website. Creating an account or paying for a plan means you accept them. If you're agreeing on behalf of a firm, you're confirming you're allowed to bind that firm.

Your account

An account belongs to one person. Sign-in credentials are not to be shared, and a single account is not a way for a team to buy one seat and use it as several. Keep your credentials secure and tell us promptly if you think someone else has access. You're responsible for what happens under your account.

We may suspend an account that is sharing credentials, attempting to extract the database in bulk, or circumventing the limits described below.

What a subscription includes

Plans are metered on three separate monthly allowances. They are independent — running out of one does not consume another.

• Searches — running a query against the database. Refining the same question doesn't cost a second search.
• Record unmasks — revealing the full detail of a specific transaction.
• Unmasks with multiples — a smaller allowance, drawn on when the record you reveal carries valuation multiples.

Allowances reset at the start of each billing period. Unused allowance does not carry over. Current plans and prices are shown at app.privylogic.ai/pricing, which governs if it differs from the table above.

Records you unlock stay yours

Once you've spent allowance revealing a transaction, that record stays readable on your account permanently. It remains visible after your allowance resets, and re-opening it later never costs anything further. Past searches and the records you unlocked in them are kept in your search history so you can return to them.

This survives a billing period ending. It does not survive the account itself being closed or terminated.

How you may use the data

While your subscription is active, you may use records you've unlocked for your own work and your firm's internal analysis: valuation work, deal screening, pitch materials and client advice. You may quote individual figures in documents you produce.

What isn't permitted:

• Republishing, reselling or redistributing the database, or any substantial part of it.
• Automated collection — scraping, crawling, or scripted access outside an interface we provide for that purpose.
• Using the data to build, train or populate a competing dataset or product.
• Sharing your access so people without their own subscription can use it.

The database, the way it is organised, and the site itself remain ours. Unlocking a record buys access to it, not ownership of it.

What the data is — and what it isn't

Records are compiled from public filings, company announcements and other public or otherwise authoritative sources. Deal terms are reported as disclosed. Where a term was never made public, it is absent — we don't infer or estimate undisclosed terms.

Coverage is uneven by nature: most transactions are recorded without valuation multiples, because most parties never disclosed enough to compute one. Searches show you how many results carry multiples before you spend anything, so you can see what you're getting.

We work to keep the database accurate but can't warrant that every record is complete, current or free of error, and sources themselves sometimes disagree. PrivyLogic is a research tool, not financial, investment, legal or tax advice. Check anything material against primary sources before relying on it in a transaction. To the extent the law allows, the service is provided as-is, and our liability to you is limited to the fees you paid in the twelve months before the claim.

Billing and cancellation

Subscriptions are monthly and renew automatically until cancelled. Payments are handled by Stripe; we don't see or store your card details. Prices are exclusive of any tax that applies where you are.

You can cancel at any time from your account's billing portal. Cancelling stops the next renewal — your plan stays active for the period you've already paid for, and you keep the records you unlocked. We don't refund part-months, though if something has genuinely gone wrong, email us and we'll deal with it sensibly.

If a payment fails, access may be paused until it's resolved.

Ending the agreement

You may stop using PrivyLogic at any time by cancelling. We may suspend or close an account for a material breach of these terms — bulk extraction, shared credentials, or non-payment being the usual reasons. Where circumstances allow, we'll tell you first and give you a chance to put it right.

Changes to these terms

We may update these terms as the product changes. If a change materially affects what you receive, we'll give notice to your account email before it takes effect, and continuing to use the service after that means accepting the revised terms. The effective date at the top always reflects the current version.
